Agreement to Terms

By accessing and using the Kontrah Labs website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

Services Overview

Kontrah Labs provides performance marketing services including but not limited to:

• Meta and Google advertising management
• Creative systems and content production
• Analytics setup and reporting
• Marketing strategy and consultation

Specific service terms, deliverables, and pricing will be outlined in individual service agreements or proposals.

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information for service delivery
• Grant necessary access to advertising accounts, analytics platforms, and other required tools
• Respond to requests for feedback and approvals in a timely manner
• Maintain adequate budgets for advertising spend as agreed upon
• Comply with all applicable laws and platform policies
• Pay all invoices according to agreed payment terms

Payment Terms

• Service fees are separate from advertising spend
• Payment terms will be specified in individual agreements
• Late payments may incur interest charges or service suspension
• All fees are quoted in Indian Rupees (INR) unless otherwise stated
• Refunds are subject to the terms outlined in your service agreement

Performance and Results

While we strive to deliver exceptional results, marketing performance depends on multiple factors including market conditions, product quality, pricing, competition, and platform algorithms. We cannot guarantee specific outcomes such as revenue targets, ROAS, or CAC reductions. All case studies and testimonials represent past performance and do not guarantee future results.

Intellectual Property

Our IP: Kontrah Labs retains all rights to our methodologies, processes, templates, and proprietary tools. You may not copy, reproduce, or distribute these materials without written permission.

Client IP: You retain ownership of your brand assets, product information, and materials provided to us. You grant us a license to use these materials for service delivery.

Work Product: Ownership of creative assets, ad copy, and deliverables will be specified in individual service agreements.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of our engagement. We will not disclose your business strategies, performance data, or sensitive information without your consent, except as required by law.

Term and Termination

• Service agreements may be month-to-month or fixed-term as specified
• Either party may terminate with written notice as outlined in the service agreement
• Outstanding fees remain due upon termination
• We reserve the right to terminate services for non-payment or breach of terms
• Certain obligations survive termination, including confidentiality and payment obligations

Limitation of Liability

To the maximum extent permitted by law, Kontrah Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or business opportunities. Our total liability shall not exceed the fees paid to us in the preceding three months.

Indemnification

You agree to indemnify and hold Kontrah Labs harmless from any claims, damages, or expenses arising from your products, services, business practices, or violation of these terms or applicable laws.

Website Use

When using our website, you agree not to:

• Use the site for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Introduce viruses, malware, or harmful code
• Scrape, harvest, or collect data without permission
• Impersonate any person or entity
• Interfere with or disrupt the website's operation

Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be subject to arbitration in accordance with Indian Arbitration and Conciliation Act, 1996, with proceedings held in Karnataka, India.

Governing Law

These terms shall be governed by and construed in accordance with the laws of India. The courts of Karnataka shall have exclusive jurisdiction over any disputes.

Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of our services constitutes acceptance of the modified terms. For existing service agreements, changes will apply upon renewal.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
